Arbital Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the websites, applications, APIs, trading interfaces, automated trading tools, social features, and other products and services provided by ARBITAL PTE. LTD., doing business as Arbital ("Arbital," "we," "us," or "our") (collectively, the "Services").

Please read these Terms carefully.

Arbital is a non-custodial software interface. Arbital does not hold or custody your funds or assets. The Services allow you to access and interact with independent third-party trading venues, protocols, blockchain networks, and other service providers. Transactions are executed and settled through those third parties, not by Arbital.

Trading digital assets, perpetual contracts, tokenized or synthetic assets, and other financial instruments involves substantial risk and may result in the loss of some or all of your funds.

By accessing or using the Services, you agree to these Terms and our Privacy Policy.

If you do not agree, do not use the Services.

1. What Arbital Is

Arbital provides a non-custodial software interface that enables users to discover markets and interact with independent third-party trading providers through a unified interface.

Depending on availability, the Services may allow you to:

discover markets and trading opportunities;

view market information and analytics;

connect your wallets or third-party trading accounts;

interact with third-party venues offering digital assets and memecoins;

interact with third-party venues offering perpetual contracts or other derivatives;

interact with third-party providers offering tokenized, synthetic, or other instruments referencing equities or other assets;

configure automated trading strategies;

use strategies such as market making, grid trading, TWAP, or other execution strategies;

view portfolio and trading information;

create profiles;

follow other traders;

share or view trading theses;

view performance statistics or trading activity made available through social features; and

access other trading, analytics, discovery, and social functionality.

Arbital may add, modify, restrict, or remove features over time.

Not every feature, market, asset, or provider is available in every jurisdiction.

2. Non-Custodial Services

Arbital is non-custodial.

Arbital does not hold, custody, possess, or control your funds or assets as part of the Services.

Your assets remain in:

your self-custodial wallet;

your account with a third-party trading provider;

a smart contract;

a blockchain protocol; or

another third-party system you choose to use.

Arbital does not require you to deposit assets into an Arbital-controlled trading account in order to use the Services.

You remain responsible for your wallets, accounts, assets, positions, and credentials.

If a third-party provider has custody or control over assets associated with your account, that custody relationship is between you and that third-party provider and is governed by the provider's terms.

3. Arbital Is an Interface to Third-Party Providers

Arbital does not itself operate the underlying:

exchange;

decentralized exchange;

blockchain;

protocol;

brokerage platform;

clearing system;

custody system;

token issuer;

liquidity pool;

settlement system; or

other trading infrastructure

through which a transaction may ultimately occur, unless expressly disclosed otherwise.

Instead, Arbital provides software through which you may interact with independent Third-Party Providers.

Third-Party Providers may include:

exchanges;

decentralized exchanges;

blockchain protocols;

smart contracts;

liquidity providers;

token issuers;

wallet providers;

market-data providers;

custodians;

brokers;

settlement providers; and

other financial or technology service providers.

A Third-Party Provider is independent from Arbital unless we expressly state otherwise.

Your relationship with a Third-Party Provider may be governed by separate terms, privacy policies, risk disclosures, eligibility requirements, and fee schedules.

You are responsible for reviewing and complying with those terms.

4. Transactions Occur Through Third-Party Providers

When you use Arbital to initiate a transaction, Arbital's software may prepare, format, display, or facilitate communication of your user-authorized instructions to the applicable Third-Party Provider.

Arbital is not the counterparty to your transaction.

The applicable Third-Party Provider or blockchain protocol is responsible for the underlying transaction mechanics, which may include:

matching;

execution;

confirmation;

clearing;

custody;

recording;

settlement; or

liquidation.

Arbital does not guarantee that a transaction submitted through the Services will:

be accepted;

be executed;

execute at a particular price;

execute in full;

remain open;

settle successfully;

be cancellable; or

occur within a particular time.

Once an instruction has been transmitted to a Third-Party Provider or blockchain network, Arbital may be unable to modify or cancel it.

5. Arbital Does Not Control Third-Party Providers

Arbital does not control independent Third-Party Providers.

We do not guarantee their:

availability;

security;

solvency;

liquidity;

pricing;

market data;

smart contracts;

regulatory status;

custody practices;

execution quality;

settlement;

functionality; or

continued operation.

A Third-Party Provider may:

experience downtime;

suffer security incidents;

change its fees;

change its eligibility requirements;

suspend markets;

restrict withdrawals;

delist assets;

modify APIs;

change margin requirements;

liquidate positions;

discontinue services; or

cease operating.

Arbital is not responsible for the acts, omissions, failures, insolvency, or misconduct of independent Third-Party Providers.

6. Eligibility

You may use the Services only if:

you are at least 18 years old or the age of legal majority required where you live;

you have legal capacity to enter into these Terms;

your use of the Services is permitted under the laws applicable to you;

you are not prohibited from using the Services under applicable sanctions laws;

you are not acting on behalf of a prohibited person; and

you satisfy the eligibility requirements imposed by any Third-Party Provider you choose to access.

If you use Arbital on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

7. Geographic, User, and Product Restrictions

The Services and certain products accessible through the Services are not available to all persons or in all jurisdictions.

Arbital may restrict access to the Services, a particular Third-Party Provider, market, asset, or product based on applicable law, regulatory requirements, sanctions, the requirements of a Third-Party Provider, or Arbital's compliance policies.

You may not access or use any Service, market, or product if you are prohibited from doing so under applicable law or under the terms or eligibility requirements of the applicable Third-Party Provider.

Certain products—including perpetual contracts, leveraged products, derivatives, tokenized securities, synthetic equity products, and other regulated instruments—may be subject to additional geographic or eligibility restrictions.

Arbital may maintain and update a list of jurisdictions or persons for whom some or all Services are restricted (the "Restricted Jurisdictions" and "Restricted Persons").

By accessing or using a restricted Service or product, you represent and warrant that:

you are not located in, ordinarily resident in, incorporated in, or accessing the applicable Service from a Restricted Jurisdiction;

you are not a Restricted Person;

you are not accessing the Service on behalf of a Restricted Person;

your use of the applicable product is lawful in your jurisdiction; and

you satisfy the eligibility requirements imposed by the applicable Third-Party Provider.

You may not use a VPN, proxy, false location information, third-party account, wallet, or any other method to circumvent geographic, sanctions, eligibility, or product restrictions.

Arbital may use technical and compliance measures to enforce these restrictions, including IP-based geolocation, account information, device or network information, wallet screening, sanctions screening, information supplied by Third-Party Providers, and other signals reasonably designed to determine eligibility.

Arbital may block, restrict, suspend, or terminate access to some or all Services where we reasonably believe that you are accessing the Services in violation of these restrictions.

The appearance of a market or product in the Arbital interface does not constitute a representation that the product is legally available to you.

Restrictions may differ between Third-Party Providers and between products. For example, a user may be eligible to access one provider or spot product while being prohibited from accessing perpetual contracts, tokenized securities, or another product.

Restricted Jurisdictions and product eligibility requirements may change from time to time as laws, regulations, sanctions, or Third-Party Provider requirements change.

8. Sanctions

You may not use the Services if your use would cause you, Arbital, or a Third-Party Provider to violate applicable sanctions or trade restrictions.

You represent that you are not:

subject to applicable sanctions;

owned or controlled by a sanctioned person;

acting on behalf of a sanctioned person; or

using the Services from a jurisdiction where the applicable Service is prohibited.

Arbital may restrict access where reasonably necessary for sanctions or legal-compliance purposes.

9. Accounts

Certain features may require an Arbital account.

You agree to:

provide accurate information;

maintain accurate account information;

keep your credentials secure;

prevent unauthorized access; and

promptly notify Arbital if you believe your account has been compromised.

You are responsible for activity conducted through your account except where applicable law provides otherwise.

10. Wallets and Connected Accounts

The Services may allow you to connect:

self-custodial wallets;

exchange accounts;

protocol accounts;

API credentials;

OAuth permissions;

session keys;

signing permissions; or

other Third-Party Provider accounts.

Connecting an account does not transfer ownership of your assets to Arbital.

You are responsible for understanding the permissions you grant to Arbital and to Third-Party Providers.

You are also responsible for protecting:

private keys;

recovery phrases;

wallet credentials;

exchange credentials;

API credentials;

authentication devices;

passwords; and

connected devices.

Arbital support will never require you to provide your wallet seed phrase or private key.

Arbital is not responsible for losses caused by:

compromised wallets;

compromised accounts;

stolen credentials;

phishing;

malware;

malicious browser extensions;

compromised devices;

unauthorized API usage;

incorrectly configured permissions; or

your failure to adequately secure your accounts.

11. User-Directed Trading

You control your trading decisions.

You determine whether to:

buy or sell;

select an asset;

select a market;

choose a Third-Party Provider where applicable;

determine order size;

determine strategy parameters;

determine leverage;

activate an automated strategy; and

stop an automated strategy.

Arbital does not have authority to independently withdraw, transfer, or deploy your assets for purposes unrelated to the instructions and permissions you have provided through the Services.

Transactions initiated through Arbital are based on instructions or parameters authorized by you.

12. Automated Trading Strategies

Arbital may provide software that allows you to configure automated strategies, including:

market making;

grid trading;

TWAP;

rebalancing;

algorithmic execution; and

other automated strategies.

When you activate an automated strategy, you authorize Arbital's software to generate or facilitate user-authorized trading instructions in accordance with the parameters you select.

Automated strategies operate mechanically according to software logic and the parameters or permissions associated with your configuration.

Arbital does not independently determine what investments are appropriate for you.

You remain responsible for:

selecting the strategy;

configuring its parameters;

selecting relevant markets where applicable;

establishing position or risk limits;

selecting leverage where applicable;

monitoring your positions; and

deciding when to stop the strategy.

Automated strategies may continue operating without requiring you to manually approve every individual order.

You acknowledge that automated trading carries significant risks, including:

rapid order placement;

rapid accumulation of positions;

inventory risk;

adverse selection;

unexpected market movements;

liquidation;

stale pricing;

incorrect parameters;

API failures;

exchange outages;

blockchain congestion;

software errors;

latency;

partial execution;

unexpected fees;

funding-rate changes;

oracle failures; and

inability to cancel orders immediately.

Risk controls may reduce risk but cannot eliminate it.

You are responsible for monitoring automated strategies you activate.

13. No Discretionary Asset Management

Unless Arbital expressly enters into a separate written agreement stating otherwise, Arbital does not provide discretionary portfolio management.

Arbital does not independently decide on your behalf:

what assets you should purchase;

how your portfolio should be allocated;

how much capital you should invest;

which trader you should follow; or

whether a transaction is suitable for you.

Automated functionality is based on user-selected parameters or predefined software functionality rather than personalized discretionary management of your assets.

14. Perpetual Contracts and Leveraged Products

Certain Third-Party Providers accessible through Arbital may offer:

perpetual futures;

perpetual swaps;

leveraged products;

margin trading; or

other derivatives.

These products involve substantial risk.

You acknowledge that:

leverage increases both potential gains and potential losses;

you may lose your entire margin;

positions may be liquidated automatically;

liquidation may occur rapidly;

funding rates may change;

margin requirements may change;

liquidity may disappear;

mark prices may differ from spot prices;

extreme volatility may occur;

auto-deleveraging may occur;

smart-contract or oracle failures may affect positions; and

system outages may prevent you from closing a position.

The relevant derivative is offered through the applicable Third-Party Provider and not by Arbital unless expressly disclosed otherwise.

You are responsible for understanding the terms and risks of the product before trading.

15. Tokenized Equities and Real-World Asset Products

Third-Party Providers accessible through Arbital may offer tokens, derivatives, synthetic instruments, or other products referencing:

publicly traded equities;

ETFs;

indices;

commodities;

currencies; or

other real-world assets.

A token or instrument referencing an equity is not necessarily the underlying stock itself.

Depending on the structure of the specific product, purchasing it may not provide:

legal ownership of the underlying security;

shareholder status;

voting rights;

direct dividend rights;

redemption rights;

shareholder protections; or

direct claims against the issuer of the underlying equity.

The rights associated with a particular product are determined by its Third-Party Provider, issuer, protocol, and governing documentation.

Arbital does not create those rights merely by displaying the product in its interface.

You should review the documentation of the applicable provider before trading.

16. Digital Assets and Memecoins

Digital assets, particularly memecoins and newly issued tokens, may be highly volatile and speculative.

Risks include:

complete loss of value;

limited liquidity;

concentrated ownership;

smart-contract vulnerabilities;

malicious contracts;

rug pulls;

scams;

manipulation;

misleading promotional claims;

issuer fraud;

bridge failures;

blockchain failures;

regulatory action; and

loss of wallet access.

The appearance of an asset within Arbital does not constitute endorsement of that asset.

Trending, popular, or highly traded assets are not necessarily suitable investments.

17. Market Data

Arbital may display information from Third-Party Providers, including:

prices;

charts;

order books;

positions;

PnL;

volume;

funding rates;

news;

social information;

market statistics;

analytics; and

historical information.

This information may be delayed, incomplete, inaccurate, stale, or unavailable.

Prices may differ between Third-Party Providers.

Arbital does not guarantee the accuracy, completeness, timeliness, or reliability of market information provided through independent sources.

18. Social and Trading Discovery Features

Arbital may provide:

trader profiles;

social feeds;

following;

leaderboards;

trade discovery;

trading theses;

performance metrics;

posts;

comments; and

other social functionality.

Content provided by users represents the views of those users, not Arbital.

Arbital does not guarantee that:

a trader is profitable;

a trading thesis is accurate;

historical performance will continue;

a trader's displayed activity represents their entire portfolio;

a user's statements are truthful;

a user possesses particular financial expertise; or

following another trader will result in profits.

You are responsible for independently evaluating information before trading.

19. Performance Information

Arbital may calculate or display information including:

PnL;

trading volume;

rankings;

win rates;

positions;

returns; or

other performance statistics.

Metrics may depend on data obtained from blockchains or Third-Party Providers and may not reflect a user's complete financial position.

Calculations may be affected by:

deposits;

withdrawals;

unrealized positions;

external accounts;

fees;

price feeds;

incomplete data; or

methodological assumptions.

Arbital may update calculation methodologies or correct inaccurate metrics.

20. No Investment Advice

Arbital provides software, market access interfaces, information, and technology.

Unless expressly agreed otherwise in writing, Arbital does not provide individualized:

investment advice;

financial advice;

legal advice;

tax advice;

accounting advice; or

portfolio-management advice.

Nothing available through the Services constitutes a guarantee that a particular trade, asset, trader, or strategy will be profitable.

Features that display:

trending assets;

traders;

rankings;

trades;

markets;

analytics;

social content; or

strategies

are provided for informational, discovery, or product-functionality purposes.

You make your own trading decisions.

21. No Fiduciary Relationship

Your use of the Services does not create a fiduciary relationship between you and Arbital.

Unless separately agreed in writing, Arbital is not acting as your:

investment adviser;

asset manager;

trustee;

fiduciary;

trading agent; or

financial adviser.

22. Fees

Arbital may charge fees for use of certain Services.

Arbital fees may include:

interface fees;

builder fees;

trading-related fees;

subscription fees; or

other fees disclosed through the Services.

Fees may vary depending on:

product;

provider;

market;

strategy;

trading volume;

account;

referral relationship; or

promotion.

Applicable Arbital fees will be disclosed through the Services or related documentation where reasonably practicable.

Third-Party Providers may separately charge fees including:

trading fees;

gas fees;

network fees;

funding payments;

spreads;

withdrawal fees;

borrowing costs; or

other charges.

Third-party fees are not controlled by Arbital.

23. Referrals, Rewards, and Promotions

Arbital may offer:

referral programs;

rebates;

competitions;

rewards;

promotional credits; or

other incentive programs.

Additional terms may apply.

You may not manipulate these programs through:

self-referrals;

fake accounts;

wash trading;

coordinated accounts;

artificial volume;

exploitative trading;

software bugs; or

other deceptive activity.

Arbital may withhold, cancel, or reverse rewards obtained through manipulation, fraud, or violation of program rules.

24. Prohibited Conduct

You may not use the Services to:

violate applicable law;

evade sanctions;

commit fraud;

launder money;

finance terrorism;

manipulate markets;

conduct wash trading;

spoof or layer orders;

artificially inflate trading volume;

manipulate rankings;

manipulate rewards;

impersonate another person;

compromise another person's account;

exploit software vulnerabilities for improper gain;

distribute malware;

interfere with Arbital infrastructure;

obtain unauthorized access;

circumvent geographic restrictions;

infringe intellectual-property rights;

mislead users;

use stolen credentials; or

assist another person in engaging in prohibited conduct.

Nothing in this Section prohibits legitimate algorithmic or automated trading using functionality expressly supported by Arbital and permitted by the applicable Third-Party Provider.

25. User Content

You retain ownership of content you create and submit through Arbital.

By publishing content through public or social features, you grant Arbital a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, format, and otherwise use the content as reasonably necessary to:

operate the Services;

display your content;

enable social functionality;

improve the Services; and

promote functionality involving content you have intentionally made public.

You represent that you have the rights necessary to publish any content you submit.

26. Content Moderation

Arbital may restrict or remove content that:

violates these Terms;

violates applicable law;

facilitates fraud;

contains scams;

impersonates others;

infringes intellectual-property rights;

exposes private information;

contains malicious links;

facilitates manipulation; or

creates significant security or legal risk.

Arbital is not obligated to review all user-generated content.

27. Intellectual Property

Except for user content and third-party materials, Arbital and its licensors own the intellectual-property rights associated with the Services, including:

software;

interfaces;

designs;

trademarks;

logos;

graphics;

text; and

proprietary technology.

Subject to these Terms, Arbital grants you a limited, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose.

28. Feedback

If you provide ideas, suggestions, or feedback about Arbital, you agree that Arbital may use that feedback without restriction or compensation.

29. Taxes

You are responsible for determining whether taxes or reporting obligations apply to your use of the Services or transactions conducted through Third-Party Providers.

Arbital does not provide tax advice.

30. Availability

Arbital does not guarantee uninterrupted availability of the Services.

The Services may be interrupted by circumstances including:

maintenance;

software bugs;

infrastructure failures;

blockchain congestion;

RPC failures;

API failures;

Third-Party Provider outages;

cloud-provider outages;

cybersecurity events;

forks;

market volatility; or

events beyond Arbital's reasonable control.

Arbital may add, modify, suspend, or discontinue functionality.

We do not guarantee that a specific:

asset;

provider;

exchange;

strategy;

protocol;

API;

market; or

feature

will remain available.

31. Suspension and Termination

Arbital may restrict, suspend, or terminate access where reasonably necessary, including if:

you violate these Terms;

your use creates security risk;

we reasonably suspect fraud;

you manipulate markets or incentive programs;

a Third-Party Provider requires restriction;

applicable law requires restriction; or

you attempt to circumvent eligibility requirements.

Closing or losing access to an Arbital account may not automatically close positions or accounts held through independent Third-Party Providers.

You remain responsible for managing your positions with those providers.

32. Third-Party Risks

Your use of Third-Party Providers is at your own risk.

Arbital is not responsible for losses caused by:

exchange insolvency;

provider insolvency;

provider misconduct;

smart-contract exploits;

token issuer failures;

protocol failures;

bridges;

blockchain reorganizations;

oracle manipulation;

liquidity failures;

withdrawal restrictions;

custody failures;

provider cybersecurity incidents;

provider API failures;

provider pricing errors; or

changes in provider terms.

33. Assumption of Trading Risk

You understand and voluntarily assume the risks associated with trading.

Those risks may include:

loss of some or all invested capital;

market risk;

liquidity risk;

leverage risk;

liquidation risk;

counterparty risk;

issuer risk;

smart-contract risk;

protocol risk;

blockchain risk;

oracle risk;

bridge risk;

cybersecurity risk;

regulatory risk;

execution risk;

latency risk;

technology risk;

automated-strategy risk;

social-trading risk; and

Third-Party Provider risk.

You should not trade funds that you cannot afford to lose.

Past performance does not guarantee future results.

34. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

ARBITAL DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF:

MERCHANTABILITY;

FITNESS FOR A PARTICULAR PURPOSE;

TITLE;

NON-INFRINGEMENT;

ACCURACY;

RELIABILITY;

SECURITY; AND

AVAILABILITY.

ARBITAL DOES NOT WARRANT THAT THE SERVICES WILL:

BE UNINTERRUPTED;

BE ERROR-FREE;

ALWAYS BE SECURE;

ALWAYS DISPLAY ACCURATE MARKET INFORMATION; OR

RESULT IN PROFITABLE TRADING.

35. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARBITAL AND ITS AFFILIATES, FOUNDERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES.

THIS INCLUDES LOSS OF:

PROFITS;

TRADING OPPORTUNITIES;

ASSETS;

DIGITAL ASSETS;

DATA;

REVENUE;

GOODWILL; OR

BUSINESS OPPORTUNITIES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARBITAL WILL NOT BE RESPONSIBLE FOR LOSSES ARISING FROM:

MARKET MOVEMENTS;

LIQUIDATIONS;

YOUR TRADING DECISIONS;

YOUR STRATEGY SETTINGS;

AUTOMATED TRADING STRATEGIES;

THIRD-PARTY PROVIDERS;

EXCHANGE FAILURES;

PROTOCOL FAILURES;

SMART-CONTRACT FAILURES;

TOKEN ISSUER FAILURES;

PROVIDER INSOLVENCY;

WALLET COMPROMISES;

API FAILURES;

BLOCKCHAIN FAILURES;

ORACLE FAILURES;

MARKET-DATA ERRORS;

NETWORK OUTAGES;

USER ERROR; OR

EVENTS OUTSIDE ARBITAL'S REASONABLE CONTROL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ARBITAL AND ITS AFFILIATES, FOUNDERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, UNDER ANY THEORY OF LIABILITY, WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO ARBITAL IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR (A) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; (C) WILFUL MISCONDUCT; OR (D) ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

36. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Arbital and its affiliates, founders, directors, officers, employees, agents, and service providers from claims, liabilities, damages, losses, judgments, and reasonable costs arising from:

your violation of these Terms;

your violation of applicable law;

your infringement of another person's rights;

your user content;

fraudulent or manipulative activity; or

your misuse of the Services.

37. Changes to These Terms

Arbital may update these Terms from time to time.

If we make changes, we will update the "Last Updated" date.

Where required by applicable law, we may provide additional notice of material changes.

Your continued use of the Services after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by law.

38. Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Services are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict-of-law principles.

Subject to mandatory rights that cannot lawfully be excluded, you and Arbital submit to the exclusive jurisdiction of the courts of Singapore for any dispute, claim, or controversy arising out of or relating to these Terms or the Services.

To the extent applicable law requires otherwise, any mandatory rights or protections available to you under the laws of your jurisdiction will not be affected.

39. Severability

If a provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain effective.

40. No Waiver

Failure by Arbital to enforce a provision of these Terms does not waive our right to enforce it later.

41. Assignment

You may not assign these Terms without Arbital's written consent.

Arbital may assign these Terms in connection with:

a merger;

acquisition;

financing;

corporate reorganization;

sale of assets; or

similar corporate transaction,

subject to applicable law.

42. Entire Agreement

These Terms, our Privacy Policy, and any additional terms applicable to particular Services constitute the agreement between you and Arbital regarding the Services.
